Terms of Service

These Terms of Service ("Terms") govern your access to and use of the WAAI platform. Please read them carefully before using the Service.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and WAAI ("WAAI," "we," "us," or "our"), governing your access to and use of the WAAI platform, including the website at the-waai.com and all related services (the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.

You represent that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If you are accessing the Service on behalf of a business, you represent that you have authority to bind that entity to these Terms.

The Service is designed for business-to-business use. By using the Service, you confirm that you are acquiring access for commercial or professional field service management purposes, not for personal or household use.

2. Description of Service

WAAI is a cloud-based field service management platform designed for businesses that dispatch technicians to customer locations. The Service provides tools for scheduling and dispatching, work order management, invoicing and payment collection, inventory tracking, customer and site management, equipment lifecycle tracking, and related operational functions.

The Service operates on a multi-tenant architecture, where each subscribing business receives a logically separated environment within a shared infrastructure. Each tenant's data is isolated through technical access controls.

The specific features available to you may vary depending on your subscription plan and may change over time.

3. Account Registration and Security

To use the Service, you must create an account with accurate and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You may create and manage user accounts for your employees within your tenant environment. You are responsible for ensuring each user complies with these Terms and for managing access levels and removing accounts when no longer needed.

Notify us immediately at support@the-waai.com if you become aware of any unauthorized use of your account.

4. Free Trial

We offer a 28-day free trial of the Service to new subscribers. No credit card is required to begin the trial. During the trial, you have access to all features without restriction.

At the end of the trial, your access will be suspended unless you subscribe to a paid plan. You will not be charged automatically. We retain your data for 30 days after the trial ends -- if you subscribe during this period, your data is restored. After 30 days, your data is permanently deleted.

The free trial is limited to one per business entity.

5. Subscription Plans and Fees

Following the trial, continued access requires a paid subscription. We offer the following tiers:

All tiers include unlimited technician and staff user accounts. No per-user or per-seat fees. Subscriptions renew automatically at the then-current rate unless you cancel before the next billing cycle.

We may change fees with 30 days' prior notice. Fee changes take effect at the start of your next billing cycle.

6. Payment Terms

All fees are payable in U.S. Dollars. Payment is processed through Stripe. By providing payment information, you authorize recurring charges to your designated payment method.

You are responsible for all applicable taxes. All fees paid are non-refundable except in the case of termination by WAAI without cause, in which case a pro-rata refund will be issued. If payment fails, we will notify you and provide a reasonable opportunity to update your payment information before suspending access.

7. License Grant

Subject to your compliance with these Terms and payment of applicable fees, WAAI grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service solely for your internal business operations during the term of your subscription.

This license does not convey any ownership interest in the Service or its underlying technology. All rights not expressly granted are reserved by WAAI.

8. Usage Restrictions

You agree not to, and will not permit any third party to:

We reserve the right to suspend or terminate accounts that violate these restrictions.

9. Your Data

You retain all right, title, and interest in your data. WAAI hosts and processes your data solely to provide the Service. We do not sell, rent, or trade your data to third parties for marketing purposes.

We may generate anonymized, aggregated data for analytics and service improvement. Such data will not identify you or your business.

You may export your data at any time during your active subscription. You are responsible for maintaining your own backups.

10. Data Processing and Privacy

Our data practices are governed by our Privacy Policy, which is incorporated into these Terms by reference.

Your data is stored on infrastructure located in the United States. We employ industry-standard security measures including encryption in transit (TLS) and at rest. Our database infrastructure uses Supabase with PostgreSQL and row-level security controls.

In the event of a data breach, we will notify affected subscribers within the timeframes required by applicable law.

11. Confidentiality

Each party agrees to hold the other's confidential information in strict confidence and not disclose it except as necessary to perform obligations under these Terms. Your data constitutes your confidential information. WAAI's proprietary technology, pricing, and internal processes constitute WAAI's confidential information.

Confidentiality obligations survive termination for three years, except for trade secrets which are protected for as long as they remain trade secrets.

12. Intellectual Property

WAAI retains all rights in the Service, including software, interfaces, designs, and trademarks. You retain all rights in your data and content. You grant WAAI a limited license to host and display your content solely as necessary to provide the Service.

If you provide feedback or suggestions, you grant WAAI an unrestricted, perpetual, royalty-free license to use and incorporate such feedback.

13. Third-Party Services

The Service integrates with third-party services including:

Your use of third-party services is subject to their respective terms and privacy policies. WAAI is not responsible for outages, errors, or changes in functionality of third-party services. We may add, remove, or replace integrations at any time with reasonable notice.

14. Availability

We use commercially reasonable efforts to keep the Service available 24/7. However, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, upgrades, or factors beyond our control. We will make reasonable efforts to schedule maintenance during off-peak hours.

15. Modifications to Service

We may modify, update, or discontinue features of the Service at any time. Routine updates may be deployed without notice. For material changes that significantly alter core functionality, we will provide at least 30 days' prior notice. Your continued use after modifications constitutes acceptance.

16. Termination

By you:You may terminate your subscription at any time with 30 days' notice. Your access continues through the end of your current billing period.

By WAAI without cause:We may terminate with 30 days' notice and will issue a pro-rata refund for prepaid fees.

By WAAI for cause: We may suspend or terminate immediately for material breach, security risks, non-payment, illegal use, or insolvency.

After termination: We retain your data for 30 days to allow export. After that, data is permanently deleted.

17. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WAAI DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. NO ADVICE OR INFORMATION OBTAINED FROM WAAI CREATES ANY WARRANTY NOT STATED IN THESE TERMS.

18. Limitation of Liability

WAAI'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. WAAI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, REGARDLESS OF WHETHER WAAI WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You are solely responsible for maintaining independent backups of your data.

19. Indemnification

You agree to indemnify and hold harmless WAAI from claims arising from your use of the Service, your data, your violation of these Terms, or disputes between you and your customers or employees.

WAAI agrees to indemnify you against third-party claims that your authorized use of the Service infringes a valid intellectual property right.

20. Dispute Resolution

Before formal proceedings, the aggrieved party must send a written Dispute Notice and the parties will attempt good-faith resolution for 30 days. Unresolved disputes will be settled by binding arbitration through the American Arbitration Association under its Commercial Arbitration Rules, conducted by a single arbitrator in New York, NY.

Class Action Waiver: Each party may bring claims only in an individual capacity, not as part of any class, collective, or representative action.

Either party may seek injunctive relief in court to protect intellectual property or confidentiality obligations.

21. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. For claims permitted in court, you consent to the exclusive jurisdiction of state and federal courts in New York.

22. General Provisions

Severability: If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, without affecting the remaining Terms.

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and WAAI regarding the Service.

Assignment: You may not assign your rights under these Terms without our consent. WAAI may assign its rights without restriction.

Amendments:We may modify these Terms with 30 days' notice for material changes. Continued use after the effective date constitutes acceptance.

Force Majeure: Neither party is liable for failures caused by events beyond reasonable control, including natural disasters, cyberattacks, or third-party infrastructure failures. If a force majeure event persists for more than 60 days, either party may terminate.

Relationship: Nothing in these Terms creates a partnership, joint venture, or employment relationship between the parties.
